These Terms of Service (the “Terms”) govern your access to and use of BookMyLib’s websites, mobile applications, APIs, and related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Refund Policy. If you do not agree, do not use the Service.
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”, “your”) and StudySpot India, a company incorporated under the laws of India with its registered office in New Delhi, operating under the trade name BookMyLib(“BookMyLib”, “Company”, “we”, “us”, “our”).
By clicking “I Agree”, “Sign Up”, “Create Account”, or by accessing, browsing, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. This electronic acceptance constitutes a valid and enforceable agreement under Section 10A of the Information Technology Act, 2000, and is equivalent to a handwritten signature under Section 65B of the Indian Evidence Act, 1872 (as amended). If you do not agree to any provision of these Terms, you must immediately cease using the Service.
These Terms incorporate by reference the following additional policies, each of which forms an integral part of this agreement:
In the event of a conflict between these Terms and any incorporated policy, these Terms shall prevail unless the incorporated policy explicitly states otherwise with respect to its subject matter.
These Terms are governed by and shall be interpreted in accordance with the following Indian legislation (as amended from time to time):
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the invalidity of that provision shall not affect the validity of the remaining provisions, which shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties’ original intent.
These Terms, together with all incorporated policies, constitute the entire agreement between you and BookMyLib regarding the subject matter hereof. They supersede all prior or contemporaneous understandings, agreements, negotiations, representations, and warranties, whether written or oral, regarding the Service.
No failure or delay by BookMyLib in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any further exercise of the same or any other right. All remedies provided herein are cumulative and not exclusive of any remedies provided by law.
You may not assign, transfer, delegate, or sublicense your rights or obligations under these Terms without our prior written consent. Any attempted assignment in violation of this provision shall be null and void. BookMyLib may freely assign its rights and obligations under these Terms to any affiliate, successor entity, or acquirer without your consent, provided the assignee assumes all obligations herein.
These Terms are drafted in English. If these Terms are translated into any other language, the English version shall prevail in the event of any inconsistency. Section headings are for convenience only and shall not affect the interpretation of these Terms. The words “include”, “includes”, and “including” shall be deemed to be followed by “without limitation”.
These Terms do not confer any rights on any person or entity other than the parties hereto, except that BookMyLib’s affiliates, officers, directors, and employees are intended third-party beneficiaries of the limitation of liability and indemnification provisions.
All notices required or permitted under these Terms shall be in writing and shall be deemed effectively given: (a) upon personal delivery; (b) upon transmission by email to the address associated with your account (for notices to you) or to studyspotindia@gmail.com (for notices to us); (c) one Business Day after deposit with a nationally recognised courier service; or (d) three Business Days after deposit in the Indian postal system via registered post with acknowledgment due.
In these Terms, unless the context otherwise requires, the following capitalised terms shall have the meanings ascribed to them below:

If we discover that you do not meet the eligibility requirements stated herein, we reserve the right to: (a) immediately suspend or terminate your account without prior notice; (b) void any Bookings or Subscriptions made in violation of eligibility requirements; (c) withhold any pending payments or settlements; and (d) pursue any other remedies available under Applicable Law.
You are responsible for maintaining the accuracy, completeness, and currency of all information associated with your account, including your name, email address, phone number, and profile photograph. Provision of false, misleading, or outdated information may result in service interruptions, account suspension, or termination.
Library Owners and, in certain circumstances, Students may be required to complete identity verification (Know Your Customer / KYC) before accessing specific features:
Accounts that have been inactive (no login, booking, or payment activity) for a continuous period of 24 months may be classified as dormant. Dormant accounts may be subject to: (a) notification via email requesting reactivation; (b) automatic deactivation if not reactivated within 30 days of notification; and (c) data anonymisation in accordance with our retention schedule.
BookMyLib is a technology platform that provides software-as-a-service (SaaS) tools to library operators and connects students with library services. BookMyLib is not a library, educational institution, reading room operator, co-working space provider, or facility manager. We do not own, operate, manage, or control any library branch listed on the Platform. All on-ground library services are provided solely by the independent library operators (Owners).
BookMyLib operates as an “intermediary” within the meaning of Section 2(1)(w) of the Information Technology Act, 2000, providing an electronic platform that enables transactions between library operators and students. As an intermediary, BookMyLib:
Nothing in these Terms shall be construed to create any employment, agency, joint venture, franchise, partnership, or fiduciary relationship between BookMyLib and any library Owner, Staff member, or Student. Library Owners are independent operators solely responsible for their business operations, employment relationships, tax obligations, regulatory compliance, and customer service. BookMyLib does not direct, supervise, or control the day-to-day operations of any library branch.
BookMyLib is not responsible or liable for:
All disputes regarding on-ground services, facility conditions, or library operator conduct should be resolved directly between the Student and the library operator. BookMyLib may, at its sole discretion, assist in facilitating communication between the parties but is not obligated to mediate or resolve such disputes.
While we require library operators to provide accurate and current information in their branch listings, BookMyLib does not independently verify, audit, or inspect: branch addresses, amenities, seating capacity, operating hours, pricing, photographs, or any other listing information. Users should exercise their own due diligence and judgment before making booking or subscription decisions. BookMyLib shall not be liable for any Losses arising from inaccurate or misleading listing information provided by library operators.
BookMyLib reserves the right to modify, enhance, restrict, or discontinue any features, functionalities, or aspects of the Platform at any time, with or without prior notice. We will make reasonable efforts to provide advance notice of material changes that may significantly affect your use of the Service. Continued use of the Service after any modification constitutes acceptance of the modified Service.
Student Subscriptions progress through the following lifecycle states, each with distinct rights and obligations:
Subscriptions do not auto-renew unless explicitly enabled by the library operator and consented to by the Student. Where auto-renewal is enabled, the Student will be notified at least 7 days before the renewal charge.
Under Section 2(i) of the DPDPA, 2023, library Owners act as independent Data Fiduciaries for student Personal Data collected and processed through their Branches. As a Data Fiduciary, each Owner:
BookMyLib acts as a Data Processor on behalf of library Owners for certain processing activities. The respective responsibilities are detailed in Privacy Policy Section 9.
Library Owners represent and warrant that they will, at all times during their use of the Service:
Refunds are governed by a combination of: (a) BookMyLib’s Refund & Cancellation Policy; and (b) the library operator’s individual refund terms as displayed on their branch listing. Not all payments are refundable. The following general principles apply:
The following are generally not eligible for refund:
Students may cancel active Subscriptions through the Platform or by contacting library Staff. Cancellation is subject to the library operator’s cancellation policy and the following rules:
BookMyLib reserves the right to modify, suspend, or terminate any promotion, referral program, or coupon campaign at any time without prior notice if: (a) fraud or abuse is detected or suspected; (b) technical errors render the promotion unworkable; (c) regulatory changes require modification; or (d) business circumstances make continuation impractical. Users who have already redeemed a promotion before its termination will not be affected.
Any tax liability arising from promotional rewards, referral credits, cashback, or prizes is the sole responsibility of the recipient. BookMyLib does not withhold taxes on promotional benefits and will not issue tax certificates (such as TDS certificates) for promotional credits unless required by Applicable Law.
You agree to use the Service only for lawful purposes and in accordance with these Terms. The following categories of conduct are expressly prohibited:
Violations of this Section 11 are subject to graduated enforcement:
If you become aware of any User engaging in Prohibited Conduct, you may report the violation by emailing studyspotindia@gmail.com with the subject “Abuse Report” and providing: (a) a description of the violation; (b) the identity of the offending User (if known); (c) any supporting evidence (screenshots, timestamps). All reports are treated confidentially.
By uploading, posting, or otherwise making available any Content through the Service (including but not limited to profile photographs, branch images, reviews, ratings, and comments), you grant BookMyLib a non-exclusive, worldwide, royalty-free, sublicensable, transferable licence to use, reproduce, modify, adapt, publish, display, distribute, and create derivative works of such Content solely for the purposes of:
This licence continues for as long as the Content is hosted on the Platform and for a reasonable period thereafter to allow for cached copies to expire. You may request removal of your Content by deleting it through the Platform or by contacting us; upon removal, the licence terminates (except for copies reasonably required for backup, legal compliance, or caching).
You represent and warrant that any Content you upload or transmit through the Service:
BookMyLib reserves the right (but not the obligation) to review, monitor, screen, edit, or remove any Content at our sole discretion, for any reason, including but not limited to: violation of these Terms, violation of Applicable Law, or upon receipt of a valid complaint. We are not responsible for Content posted by Users and do not endorse any opinions expressed in User Content.
If you believe that any Content on the Platform infringes your Intellectual Property Rights, you may submit a takedown notice to studyspotindia@gmail.com containing: (a) identification of the copyrighted work or IP right claimed to be infringed; (b) identification of the infringing Content with sufficient detail to locate it; (c) your contact information; (d) a statement of good-faith belief that the use is unauthorised; (e) a statement, under penalty of perjury, that the information is accurate and you are authorised to act on behalf of the IP owner. This procedure is in accordance with Section 79 of the IT Act, 2000 and the IT (Intermediary Guidelines) Rules, 2021.
Any suggestions, ideas, enhancement requests, feedback, or other information you provide regarding the Service (“Feedback”) shall be deemed non-confidential and non-proprietary. You hereby assign to BookMyLib all rights, title, and interest in such Feedback, and BookMyLib shall be free to use, reproduce, modify, distribute, and exploit such Feedback for any purpose without compensation, attribution, or obligation to you.
The Service, including without limitation its source code, object code, software, databases, user interface designs, architecture, page layouts, graphics, icons, photographs, text, audio, video, and all other content created by BookMyLib (collectively, “BookMyLib IP”), is the exclusive property of StudySpot India and is protected by the Copyright Act, 1957; the Trade Marks Act, 1999; the Patents Act, 1970; the Information Technology Act, 2000; and applicable international intellectual property treaties. All rights are reserved.
You retain all ownership rights in your Personal Data and User-generated Content (subject to the licence grant in Section 12.1). Nothing in these Terms transfers ownership of your data to BookMyLib. Our use of your data is governed by the Privacy Policy.
Library operators retain ownership of their listing content (branch descriptions, photographs, pricing, amenity descriptions). By posting listing content on the Platform, operators grant BookMyLib a non-exclusive, royalty-free licence to display, distribute, and promote such content across the Platform and in marketing materials for the duration of their active account.
Except as expressly permitted by these Terms, you may not, and you may not permit any third party to:
BookMyLib respects the Intellectual Property Rights of others. If you believe your IP rights are being infringed by Content on the Platform, please follow the takedown procedure described in Section 12.4. BookMyLib will respond to valid complaints in accordance with the IT Act, 2000 and may terminate the accounts of repeat infringers.
The Service integrates with or relies upon the following third-party services. Your use of these services is subject to their respective terms of service and privacy policies:
BookMyLib is notresponsible for the availability, accuracy, reliability, security, or practices of any Third-Party Service. Third-party service outages, API deprecations, policy changes, or security incidents are beyond our control and are not covered by our SLA (Section 21). Any dispute arising from a third-party service should be directed to that service’s provider.
The Service may contain links to third-party websites, applications, or resources. Such links are provided for your convenience only and do not constitute an endorsement, approval, or recommendation by BookMyLib. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites.
Third-party integrations may be modified, throttled, or discontinued based on upstream provider changes, policy updates, or business decisions. BookMyLib will make reasonable efforts to provide advance notice of significant integration changes that may affect your use of the Service. We will use commercially reasonable efforts to provide alternative solutions where possible.
Your privacy is critically important to us. Our collection, use, storage, disclosure, and protection of Personal Data is governed by our comprehensive Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read and understood the Privacy Policy.
BookMyLib’s data practices comply with the following regulatory frameworks:

To the fullest extent permitted by Applicable Law, BookMyLib expressly disclaims all warranties and representations, whether express, implied, statutory, or otherwise, with respect to the Service, including without limitation:
The Service does not constitute legal, financial, tax, accounting, educational, or professional advice. Any information provided through the Service (including these Terms, the Privacy Policy, pricing information, and financial reports) is for general informational purposes only. You should consult qualified professionals for specific advice.
Notwithstanding anything to the contrary in these Terms, BookMyLib’s total cumulative liability for all claims of any kind arising from or related to these Terms, the Service, or your use thereof, whether based in contract, tort (including negligence), strict liability, or any other legal theory, shall not exceed the greater of:

In no event shall BookMyLib, its directors, officers, employees, affiliates, agents, or licensors be liable for any of the following, regardless of the theory of liability and even if BookMyLib has been advised of the possibility of such damages:
BookMyLib shall not be liable for any delay, failure, or interruption of the Service caused by or resulting from events beyond its reasonable control (“Force Majeure Events”), including but not limited to: natural disasters (earthquakes, floods, cyclones); epidemics or pandemics; war, terrorism, or civil unrest; government actions, regulations, or embargoes; internet, telecommunications, or power outages; cyberattacks (DDoS, ransomware); third-party service failures or API deprecations; strikes or labour disputes; and any other event that is unforeseeable and beyond reasonable control.
BookMyLib is expressly not liable for, and hereby disclaims all responsibility for: the actions, omissions, negligence, misconduct, or wilful default of library operators, their Staff, or other Users; the physical conditions, safety, hygiene, or accessibility of any library Branch; personal injury, property damage, theft, or harassment occurring at any library premises; and any dispute between a Student and a library operator.
While BookMyLib implements industry-standard safeguards including daily automated backups and redundant storage, we are not liable for data loss resulting from circumstances beyond our reasonable control, including but not limited to: third-party hosting provider failures, database corruption caused by upstream infrastructure issues, or data deletion performed at your request. BookMyLib does not guarantee user-level data recovery from backups.
The limitations in this Section 17 apply to the fullest extent permitted under the Indian Contract Act, 1872 and the Consumer Protection Act, 2019. Nothing in these Terms shall limit liability for: (a) fraud or wilful misrepresentation; (b) personal injury or death caused by BookMyLib’s gross negligence; or (c) any liability that cannot be excluded or limited by Applicable Law.
You agree to indemnify, defend, and hold harmless BookMyLib, StudySpot India, and their respective directors, officers, employees, agents, affiliates, successors, and assigns (collectively, the “Indemnified Parties”) from and against any and all claims, demands, actions, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable legal fees and disbursements) arising from or related to:
In addition to the general indemnification obligations above, library Owners additionally agree to indemnify the Indemnified Parties from and against any claims arising from:
BookMyLib may suspend or terminate your account, in whole or in part, at its sole discretion, for any of the following reasons:
If your account has been suspended (not terminated), you may request reinstatement by: (a) curing the violation that caused the suspension; (b) providing written assurance of future compliance; and (c) paying any outstanding fees. Reinstatement is at BookMyLib’s sole discretion and is not guaranteed.
The following Sections survive any termination or expiration of these Terms: 2 (Definitions), 13 (Intellectual Property), 16 (Disclaimers), 17 (Limitation of Liability), 18 (Indemnification), 19.3 (Effect of Termination), 20 (Governing Law & Jurisdiction), 22 (Data Processing), 25 (Confidentiality), and any other provisions that by their nature should survive termination.
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by, and construed in accordance with, the laws of the Republic of India, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
The parties agree to resolve disputes through the following escalation procedure:
For any matters not subject to arbitration, or for interim/injunctive relief pending arbitration, the courts of competent jurisdiction in New Delhi, India shall have exclusive jurisdiction. You irrevocably submit to the personal jurisdiction of such courts and waive any objection to venue.
Notwithstanding the above, either party may bring a claim in any small cause court or consumer forum (under the Consumer Protection Act, 2019) of competent jurisdiction, provided the claim falls within the monetary limits of such forum.
Any claim arising under or related to these Terms must be brought within one (1) year after the cause of action accrues, except where a longer period is mandated by Applicable Law (e.g., the Limitation Act, 1963). Failure to bring a claim within this period constitutes a waiver of such claim.
For library Owners on Pro or Enterprise SaaS Plans, the following service credits apply if the monthly uptime target is not met:
Service credits are the sole and exclusive remedy for failure to meet the uptime target. Credits are applied to future billing cycles and are not redeemable for cash.
The following are excluded from uptime calculations and do not qualify for service credits:
To claim a service credit, the affected Owner must submit a written request to studyspotindia@gmail.com within 30 calendar daysof the downtime incident, including: (a) the date(s) and time(s) of the outage; (b) a description of the impact; and (c) any supporting evidence (screenshots, error messages). BookMyLib will verify the claim against its monitoring records and respond within 15 Business Days.
BookMyLib employs a multi-tenant architecture with logical data isolation at the database level:
libraryId parameter. All database queries are automatically filtered by libraryIdto ensure that no library operator can access, view, query, or modify another library’s data.BookMyLib engages the following sub-processors for specific data processing activities. Each sub-processor is bound by data processing agreements that require compliance with security standards at least as protective as BookMyLib’s own:

In the event of a confirmed Personal Data breach that poses a risk of significant harm to affected individuals, BookMyLib shall:

The Service implements rate limiting across all API endpoints and user-facing features to ensure fair usage and platform stability. Automated scripts, bots, or tools that exceed rate limits will be temporarily or permanently blocked. BookMyLib reserves the right to adjust rate limits without prior notice.
Third-party integrations may be modified, throttled, deprecated, or discontinued based on upstream provider changes, policy updates, security requirements, or business decisions. BookMyLib will provide at least 30 days’ advance notice of significant integration changes where commercially feasible. We will use commercially reasonable efforts to provide alternative solutions or migration paths where possible.
The app requests specific Android device permissions for specific features. All permissions are optional and may be revoked at any time through Android Settings without affecting unrelated features:

“Confidential Information” means any non-public information disclosed by one party (“Disclosing Party”) to the other (“Receiving Party”) in connection with the Service, whether disclosed orally, in writing, electronically, or by inspection, including but not limited to: business plans, financial data, pricing information, technical specifications, source code, algorithms, User data, customer lists, and trade secrets.
Confidentiality obligations do not apply to information that:
Library Owners must treat all student Personal Data obtained through the Platform as Confidential Information and must: (a) use it solely for legitimate library operations; (b) not disclose it to unauthorised third parties; (c) not use it for unsolicited marketing or commercial purposes; and (d) implement reasonable security measures to protect it from unauthorised access.
Confidentiality obligations under this Section 25 survive termination of these Terms for a period of three (3) years, except for trade secrets which remain confidential for as long as they retain their character as trade secrets.
BookMyLib reserves the right to modify, amend, or update these Terms at any time. Amendments may be necessitated by: changes in Applicable Law, new features or services, security requirements, business restructuring, or changes in third-party service terms.
Your continued use of the Service after the effective date of an amendment constitutes your acceptance of the updated Terms. If you are a library Owner with an active SaaS subscription, material changes to terms that adversely affect your rights will not apply to your current billing period.
If you disagree with a material change to these Terms, you may terminate your account before the change takes effect without penalty or early termination fee. If you are a library Owner with an active SaaS subscription, you will receive a pro-rata refund for the unused portion of your current billing period upon termination under this Section.
Previous versions of these Terms are archived and available upon request by emailing studyspotindia@gmail.com. We maintain a change log documenting material amendments.
These Terms, together with the Privacy Policy, Refund & Cancellation Policy, and any applicable SaaS agreement or order form, constitute the entire agreement between you and BookMyLib regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

The remaining provisions shall continue in full force and effect.
No failure or delay by BookMyLib in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise preclude any further exercise of that right or any other right. A waiver of any term or condition of these Terms shall be effective only if given in writing and signed by an authorised representative of BookMyLib.
You may not assign or transfer these Terms or any rights or obligations hereunder without BookMyLib’s prior written consent. BookMyLib may assign these Terms in whole or in part to any successor or acquirer in connection with a merger, acquisition, reorganisation, or sale of all or substantially all of its assets, without your consent. Subject to the foregoing, these Terms shall be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
All legal notices to BookMyLib must be sent to: studyspotindia@gmail.comwith the subject line “Legal Notice — [Your Name/Entity].” Notices to you will be sent to the email address associated with your account. Notices are deemed received: (a) upon delivery if sent by email with read receipt or delivery confirmation; (b) upon posting if displayed within the Service.
Nothing in these Terms creates any agency, partnership, joint venture, employer-employee, or franchisor-franchisee relationship between BookMyLib and any User. Neither party has the authority to bind the other or to incur any obligation on the other’s behalf.
These Terms are between you and BookMyLib. No third party shall have any right to enforce any term of these Terms under the Indian Contract Act, 1872 or otherwise, except that the Indemnified Parties (Section 18) are intended third-party beneficiaries of the indemnification provisions.
These Terms are drafted in English. In the event of any conflict between the English version and any translation, the English version shall prevail.
